Terms & Conditions

Last updated: July 8, 2026. Please read these Terms & Conditions (“Terms”) carefully before using Chancemarket or purchasing any ticket, entry, or subscription through the platform. These Terms are long because they cover several distinct commercial relationships at once — a software subscription, a promotional chance drawing, and, for some users, an influencer/distributor arrangement — and we would rather be thorough than leave any of those relationships ambiguous.

1. Acceptance of These Terms

These Terms constitute a binding legal agreement between you (“you,” “User,” or “Buyer”) and Chancemarket Protocol and its operating entities, including Twimbox LLC (“Chancemarket,” “we,” “us,” or “our”). By creating an account, accessing the Chancemarket website or mobile experience, participating in any raffle, chance game, or subscription offered through the platform, or by checking the acceptance box presented at checkout, you acknowledge that you have read, understood, and agree to be bound by these Terms in full.

If you do not agree to these Terms, you must not access or use Chancemarket, and you must not purchase any ticket, entry, or subscription. Continued use of the platform after any update to these Terms constitutes acceptance of the revised Terms. If you are using Chancemarket on behalf of an organization, you represent that you have authority to bind that organization, and “you” in these Terms refers to that organization as well as to you individually.

These Terms incorporate by reference our Privacy Policy, any pool-specific terms displayed on an individual Prize Pool page before purchase, and any additional terms applicable to a specific Twimbox LLC Group product once you activate access to it. In the event of a direct conflict between these Terms and a pool-specific term regarding the mechanics of a particular drawing, the pool-specific term controls for that drawing only; these Terms control on every other matter, including the SaaS subscription-access relationship described in Section 4.

2. Eligibility

You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction of residence, to create an account, purchase a ticket, or receive a prize through Chancemarket. By accepting these Terms, you represent and warrant that you meet this age requirement and that participating in chance-based promotions and purchasing digital subscriptions is lawful in your jurisdiction.

Chancemarket reserves the right to request proof of age, identity, and residency at any time, including prior to prize fulfillment, and to disqualify any entry or withhold any prize where eligibility cannot be verified or where local law restricts participation. We may also restrict access to some or all Prize Pools, or to some or all Twimbox LLC Group products, from specific countries, states, or provinces where the combined subscription-and-drawing offering, or a particular product within it, is not permitted to be offered.

Employees, contractors, and immediate family members of Chancemarket, Twimbox LLC, and the operators of the individual Twimbox LLC Group products may be restricted from participating in prize drawings, at Chancemarket's discretion, in order to preserve the integrity of the selection process; this restriction does not affect their ability to purchase or use the underlying SaaS subscription.

3. Definitions

  • “Prize Pool” — a bundle consisting of a prize and the associated ticket sales mechanics, created and configured by Chancemarket administrators.
  • “Prize Distributor” / “Influencer” — a creator or partner who brands, promotes, and distributes access to a Prize Pool via their own landing page.
  • “Ticket” or “Entry” — the digital record, on-chain or off-chain, evidencing a Buyer's paid participation in a chance drawing tied to a Prize Pool.
  • “Twimbox LLC Group” — the group of affiliated software-as-a-service businesses operated under or in association with Twimbox LLC, currently comprising getChippy, RockyTrainer, Tumoda, Hypermemory, BlockchainGPT, and construprecios, each a standalone SaaS product.
  • “SaaS Subscription Access” — the right, described in Section 4, for a Buyer to request and receive activation of one or more Twimbox LLC Group products for the duration of the applicable subscription or ticket period.
  • “Chance Drawing” — the random or algorithmically-selected process by which a single Ticket (or a limited number of Tickets) associated with a Prize Pool is chosen to receive the underlying prize.
  • “Site” — the Chancemarket website, any influencer-branded landing page hosted on Chancemarket infrastructure, and any associated mobile-optimized experience.
  • “Fees” — the amount charged to a Buyer at checkout for a Ticket, inclusive of the associated SaaS Subscription Access, exclusive of any taxes unless stated otherwise.
  • “Services” — collectively, the Chancemarket platform, the Chance Drawing mechanics, and the SaaS Subscription Access described in Section 4.

4. Nature of the Service; Twimbox LLC Group SaaS Subscription Access

Chancemarket is not a standalone sweepstakes or raffle product. Chancemarket is a subscription-commerce platform operated by Twimbox LLC through which Buyers pay to obtain (a) an entry into a Chance Drawing, and (b) SaaS Subscription Access to the software-as-a-service products operated by the Twimbox LLC Group.

By purchasing a ticket on Chancemarket, you are purchasing a subscription that grants you access to use any or all of the software-as-a-service products operated by the Twimbox LLC Group — including getChippy, RockyTrainer, Tumoda, Hypermemory, BlockchainGPT, and construprecios — for the duration of your active subscription or ticket period. The chance to win the associated prize is a bonus feature layered on top of this underlying SaaS subscription; it is not the sole item being sold.

The subscription access described in this Section has standalone value independent of the outcome of the associated Chance Drawing. Every Buyer who completes a purchase receives the same SaaS Subscription Access rights described above regardless of whether that Buyer is ultimately selected as a winner. Chancemarket does not condition subscription access on winning; the Chance Drawing is an additional feature bundled with, but legally and functionally distinct from, the underlying SaaS subscription.

Access to the applicable Twimbox LLC Group product(s) is provided on a request basis. Following a successful purchase, Buyers may request activation of their SaaS Subscription Access using the request access form, signed in with the same account or email address associated with the purchase; that form is also reachable from Section 25 (Contact) below. We are working toward fully automated, at-purchase provisioning of this access across all six Twimbox LLC Group products; until that integration is complete, activation is confirmed manually by our team, and response times may vary. A Buyer's decision not to request or activate a Twimbox LLC Group SaaS product does not entitle the Buyer to a refund, since the subscription access is made available to any Buyer who requests it, regardless of whether that Buyer chooses to use it.

Because each purchase includes this bundled Twimbox LLC Group SaaS subscription component, transactions on Chancemarket are processed, accounted for, and should be understood as software subscription commerce, not merely as sweepstakes or raffle ticket sales. This same subscription-access description is presented to you at the point of sale, in the acceptance checkbox you must check before payment is enabled, so that the nature of the purchase is clear before — not only after — you pay.

Nothing in this Section obligates any specific Twimbox LLC Group product to remain available indefinitely. If a product is discontinued, sold, or otherwise removed from the Twimbox LLC Group, Chancemarket will either substitute a comparable product from the remaining Group or adjust the scope of SaaS Subscription Access described here, and will update this Section accordingly.

5. Account Registration

To purchase a ticket or manage a Prize Distributor page, you may be required to register an account using an email address, a supported wallet, or a third-party authentication provider. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

You agree to provide accurate, current, and complete information when registering an account or requesting SaaS Subscription Access, and to keep that information up to date. We may rely on the information you provide, including your email address, to deliver access instructions, winner notifications, and other communications required under these Terms.

We reserve the right to suspend or terminate any account that provides false information, violates these Terms, or is used for fraudulent, abusive, or unlawful activity. Each natural person or organization may maintain only one active Buyer account unless we expressly authorize otherwise.

6. Purchases, Payments & Pricing

Tickets may be purchased using the payment methods presented at checkout, which may include credit or debit card processing (via Stripe), MercadoPago, or supported cryptocurrency wallets. All prices are displayed in the currency shown at checkout and are inclusive of the underlying Twimbox LLC Group SaaS subscription access described in Section 4.

You are responsible for any taxes, duties, or similar governmental assessments associated with your purchase, except for taxes based on Chancemarket's net income, unless we are required by law to collect such taxes directly, in which case they will be itemized at checkout. Where a purchase is made in a cryptocurrency, the fiat-equivalent price is fixed at the time of checkout and the applicable conversion rate is disclosed before you confirm payment; Chancemarket is not responsible for exchange-rate movements between the time you view a price and the time your transaction is confirmed on-chain.

All sales are final except as required by applicable law or as expressly stated in Section 7 of these Terms. Chargebacks or payment disputes initiated without first contacting Chancemarket support may result in suspension of your account and forfeiture of any pending or future prize eligibility, without limiting our other rights or remedies. If a payment fails, is reversed, or is otherwise not honored by your payment provider after a Ticket has been issued, we may void the associated Ticket and any associated SaaS Subscription Access request.

Where a Prize Pool is offered on a recurring or subscription basis, you authorize Chancemarket to charge your selected payment method on each renewal date until you cancel. You may cancel a recurring purchase at any time prior to the next billing date through your account settings; cancellation takes effect at the end of the then-current billing period and does not entitle you to a pro-rated refund.

7. Cryptocurrency & Blockchain Risk Disclosure

Where a Ticket is purchased using a supported cryptocurrency wallet, you acknowledge that cryptocurrency transactions are irreversible once confirmed on the applicable blockchain network, that network congestion or gas-fee volatility may delay or increase the cost of a transaction, and that Chancemarket does not control, and is not responsible for, the underlying blockchain network, wallet software, or smart contracts used to record a Ticket or process randomness for a Chance Drawing.

You are solely responsible for the security of your wallet, private keys, and seed phrases. Chancemarket will never ask you for your private keys or seed phrase, and will not be liable for any loss resulting from a compromised wallet, a mistyped address, or a transaction sent to the wrong network. If you connect a wallet to purchase a Ticket, you represent that you are the lawful owner or authorized user of that wallet and the funds it contains.

8. Refunds & Cancellations

Because a Ticket purchase includes both an entry into a Chance Drawing and SaaS Subscription Access made available to you, we generally do not offer refunds once a purchase is complete, except where required by applicable consumer-protection law or where Chancemarket determines, in its sole discretion, that a technical error prevented the Ticket from being validly issued or prevented SaaS Subscription Access from being requestable.

If a Prize Pool is cancelled by Chancemarket before its scheduled Chance Drawing — for example, due to insufficient participation, a legal or compliance issue, or an error in how the Prize Pool was configured — Buyers who purchased a Ticket for that Prize Pool will be offered, at Chancemarket's discretion, either a refund of the Fees paid or credit toward a future purchase, together with instructions on retaining or winding down any SaaS Subscription Access already requested for that purchase.

Cancelling a recurring subscription under Section 6 stops future charges but does not retroactively refund amounts already charged, and does not automatically deactivate SaaS Subscription Access already granted for a billing period that has already started; that access remains available through the end of the paid period.

9. Prizes, Winner Selection & Verification

Each ticket purchased for a Prize Pool represents one chance-based entry into the associated Chance Drawing. Winners are selected using either verifiable on-chain randomness or an audited off-chain selection process, as disclosed on the applicable Prize Pool page. Odds of winning depend on the total number of tickets sold for that Prize Pool at the time of the drawing and are not fixed in advance.

Before a prize is awarded, Chancemarket may require the winning Buyer to verify their identity, age, and eligibility, and to complete any tax or compliance documentation required by law. Failure to complete verification within the timeframe communicated by Chancemarket may result in forfeiture of the prize and selection of an alternate winner.

Winners are solely responsible for any taxes, fees, or reporting obligations arising from receipt of a prize. Where required by law, Chancemarket may issue tax reporting documentation to a winner and to the applicable tax authority, and may require a completed tax form before releasing a prize.

Prizes are non-transferable and may not be exchanged for cash except where Chancemarket expressly offers a cash-equivalent option. Chancemarket is not responsible for delays in prize delivery caused by third-party carriers, incorrect information provided by the winner, or circumstances beyond our reasonable control. A prize that remains unclaimed after the notification period disclosed on the Prize Pool page may, at Chancemarket's discretion, be forfeited and re-awarded to an alternate winner.

10. Assumption of Risk

You acknowledge that participation in a Chance Drawing is inherently uncertain: most Buyers who purchase a Ticket for a given Prize Pool will not win the associated prize. You are purchasing SaaS Subscription Access with a bundled chance to win, not a guaranteed prize, and you should evaluate the value of a purchase primarily on the basis of the subscription access you are guaranteed to receive rather than on the possibility of winning.

You further acknowledge the general risks associated with online commerce and networked software, including the possibility of service interruptions, security vulnerabilities, and errors in third-party infrastructure (including payment processors, blockchain networks, and the individual Twimbox LLC Group products), and you agree that Chancemarket's liability for such risks is limited as described in Section 17.

11. Prize Distributor / Influencer Program

Prize Distributors who brand and promote a Prize Pool through their own Chancemarket landing page do so under a separate arrangement with Chancemarket governing commissions, payout timing, and permitted marketing practices. Nothing in a Prize Distributor's promotional materials modifies these Terms as they apply to Buyers; in the event of any conflict, these Terms control.

Prize Distributors are independent parties and are not employees or agents of Chancemarket. Chancemarket is not responsible for representations made by a Prize Distributor that are inconsistent with these Terms or with the official description of a Prize Pool, including any representation that inaccurately describes the SaaS Subscription Access bundled with a purchase.

Prize Distributors are responsible for ensuring that their own marketing of a Prize Pool complies with applicable advertising, sweepstakes, and consumer-protection laws in the jurisdictions where they promote it, including any disclosure obligations relating to the commercial relationship between the Prize Distributor and Chancemarket.

12. Intellectual Property

The Chancemarket name, logo, platform design, and underlying software, together with the names, logos, and software of each Twimbox LLC Group product (getChippy, RockyTrainer, Tumoda, Hypermemory, BlockchainGPT, and construprecios), are the property of Twimbox LLC and its licensors and are protected by applicable intellectual property laws. Your subscription access under Section 4 grants a limited, non-exclusive, non-transferable license to use the applicable SaaS product for personal or internal purposes during your active subscription period; it does not transfer any ownership interest.

You may not copy, modify, reverse-engineer, resell, sublicense, or create derivative works from any Chancemarket or Twimbox LLC Group software except as expressly permitted in writing. If you submit feedback, suggestions, or ideas about Chancemarket or any Twimbox LLC Group product, you grant us a perpetual, royalty-free license to use that feedback without restriction or compensation.

13. Third-Party SaaS Products; Additional Terms

Each Twimbox LLC Group product referenced in these Terms — getChippy, RockyTrainer, Tumoda, Hypermemory, BlockchainGPT, and construprecios — is a distinct software product with its own functionality, and, once your SaaS Subscription Access to that product is activated, its own additional terms of service, usage policies, and privacy practices may apply to your use of that specific product's features. These Terms govern the subscription-access relationship between you and Chancemarket (i.e., your right to request and receive access); the applicable product's own terms govern your day-to-day use of that product once activated.

In the event of a conflict between these Terms and a specific Twimbox LLC Group product's own terms regarding the operation of that product, the product's own terms control for matters specific to that product, and these Terms control for all matters relating to your Chancemarket purchase, your Ticket, and your SaaS Subscription Access rights described in Section 4.

14. Data Protection & Privacy

Our collection, use, and disclosure of personal information in connection with the Services, including information collected to verify eligibility, deliver prizes, and process requests for SaaS Subscription Access, is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described there.

Where activating SaaS Subscription Access on a Twimbox LLC Group product requires us to share your name, email address, or account identifier with that product's operator so that an account or credential can be issued to you, you consent to that limited sharing as necessary to fulfill the access request described in Section 4.

15. Communications; Electronic Consent

By creating an account or completing a purchase, you consent to receive communications from Chancemarket electronically, including order confirmations, SaaS Subscription Access instructions, winner notifications, and legally required disclosures, at the email address or phone number you provide. You agree that these electronic communications satisfy any legal requirement that such communications be in writing.

You may opt out of non-essential marketing communications at any time; you may not opt out of transactional communications, such as purchase confirmations, prize notifications, or SaaS Subscription Access instructions, that are necessary to fulfill your purchase.

16. Prohibited Conduct

  • Creating multiple accounts to circumvent per-account entry limits or promotional restrictions.
  • Using bots, scripts, or automated means to purchase tickets or interact with the platform.
  • Attempting to manipulate, exploit, or interfere with the randomness or winner-selection mechanisms.
  • Using Chancemarket or any Twimbox LLC Group SaaS product for unlawful, fraudulent, or infringing purposes.
  • Circumventing, disabling, or otherwise interfering with security-related features of the Services.
  • Misrepresenting your identity, age, or eligibility in order to purchase a ticket or claim a prize.
  • Requesting SaaS Subscription Access on behalf of a Buyer other than yourself without authorization.
  • Reselling, sublicensing, or transferring Tickets, Entries, or SaaS Subscription Access to a third party.

Violation of this Section may result in immediate suspension of your account, forfeiture of pending entries or prizes, deactivation of SaaS Subscription Access obtained through the violating conduct, and, where applicable, referral to law enforcement.

17. Disclaimers; Limitation of Liability

The Services, including each Twimbox LLC Group SaaS product made available through your subscription access, are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Chancemarket does not warrant that the Services will be uninterrupted, error-free, or secure, and does not warrant the accuracy, reliability, or availability of any individual Twimbox LLC Group product.

To the maximum extent permitted by applicable law, Chancemarket, Twimbox LLC, and their officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services, even if advised of the possibility of such damages. In no event shall our aggregate liability to you exceed the total amount you paid to Chancemarket in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you; in that case, our liability will be limited to the maximum extent permitted by applicable law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Chancemarket, Twimbox LLC, and each Twimbox LLC Group entity, together with their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of a third party.

19. Termination

We may suspend or terminate your account and access to the Services, including any active Twimbox LLC Group SaaS subscription obtained through a ticket purchase, at any time for violation of these Terms, for suspected fraud, or as required by law. You may close your account at any time by contacting support; closing your account does not entitle you to a refund for tickets already purchased or subscription periods already begun.

Sections of these Terms that by their nature should survive termination — including Sections 12, 17, 18, 22, and 23 — will survive any termination or expiration of your account or these Terms.

20. Export Control; Sanctions; International Use

The Twimbox LLC Group products may be subject to export control and economic sanctions laws. You represent that you are not located in, or a resident of, a country or region subject to comprehensive sanctions, and that you are not on any restricted-party list maintained by the government of the United States or another applicable jurisdiction. We may deny or revoke SaaS Subscription Access where required to comply with such laws.

Chancemarket makes no representation that the Services are appropriate or available for use in every location. If you access the Services from outside the country in which Chancemarket or the relevant Twimbox LLC Group product primarily operates, you do so on your own initiative and are responsible for compliance with local law.

21. Force Majeure

Chancemarket will not be liable for any failure or delay in performance, including delays in conducting a Chance Drawing, delivering a prize, or provisioning SaaS Subscription Access, resulting from causes beyond our reasonable control, including acts of God, natural disaster, war, terrorism, labor disputes, internet or utility failures, or actions of a third-party payment processor or blockchain network.

22. Governing Law; Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Twimbox LLC is organized, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue any remedy available at law or in equity, subject to any binding arbitration or venue provisions separately agreed to at account creation.

To the extent permitted by applicable law, disputes will be resolved on an individual basis, and you agree not to bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding, unless we agree otherwise in writing.

23. Miscellaneous: Assignment; Severability; No Waiver; Entire Agreement

You may not assign or transfer these Terms, or any Ticket, Entry, or SaaS Subscription Access right arising from them, without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets involving Chancemarket, Twimbox LLC, or a Twimbox LLC Group product.

If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

These Terms, together with the Privacy Policy, any pool-specific terms, and any applicable Twimbox LLC Group product terms referenced in Section 13, constitute the entire agreement between you and Chancemarket regarding the Services and supersede any prior agreements on the same subject.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Services, the composition of the Twimbox LLC Group, or applicable law. Material changes will be communicated by posting the updated Terms on this page with a revised “Last updated” date, and, where appropriate, by additional notice within the platform or by email. Your continued use of the Services after such changes take effect constitutes acceptance of the updated Terms.

If you have questions about these Terms, your purchase, or your SaaS Subscription Access, please contact us through the support channel listed in your Chancemarket account or via the contact information published on the Chancemarket website. We aim to respond to SaaS Subscription Access requests within a reasonable time and will update this Section, and Section 4, once at-purchase automated provisioning is available.

To request activation of a Twimbox LLC Group product, use the request access form, signed in with the same account or email address associated with your purchase, and select the product(s) you would like to activate.
